These terms apply to every service Druff Interactive provides: design retainers, quoted projects, website hosting and maintenance. Section 3 covers the design retainer, section 4 covers quoted projects, and everything else applies to both.
1.1 “Druff”, “we” and “us” mean Druff Interactive cc, trading as Druff Agency, registration number 2002/004090/23, VAT number 4220229993, of 47 Cedarwood Crescent, Woodlands Lifestyle Estate, Moreletapark, Pretoria, 0181, South Africa.
1.2 “The client” and “you” mean the person or entity contracting with Druff. “The parties” means Druff and the client.
1.3 “Retainer” means a monthly design service made up of one or more slots. A “slot” is capacity for one job in production at a time.
1.4 “Brief” means a single request placed in the client’s queue. “Project” means work quoted separately at a fixed price.
1.5 “Druff HQ” means the online system through which retainer clients brief, prioritize and receive work.
1.6 Days are calendar days unless stated otherwise. Where a deadline falls on a Saturday, Sunday or public holiday, it moves to the next business day. Working hours are 08:00–17:00 SAST, Monday to Friday.
1.7 The singular includes the plural, and references to people include legal entities, and the reverse.
1.8 “Standard hourly rate” means R600 per hour, excluding VAT, unless a quotation states a different rate.
1.9 “CPA” means the Consumer Protection Act, 2008. Where you are a consumer under the CPA, nothing in these terms takes away a right that Act gives you.
2.1 You accept these terms by signing a retainer agreement, by accepting a quotation in writing by email, or by paying an invoice for our services, whichever comes first.
2.2 Where a signed retainer agreement or an accepted quotation says something different from these terms, the agreement or quotation applies for that point.
2.3 Electronic transactions. Orders placed through a form on this website are electronic transactions under the Electronic Communications and Transactions Act, 2002. The details that Act requires us to display appear in sections 1 and 11. Where that Act gives you a seven-day cooling-off right, it does not apply to services whose performance has begun with your consent.
3.1 Fees. The monthly fee is shown on your agreement (from R50 000 per month for one slot, excluding VAT) and is invoiced monthly. A once-off onboarding fee (R15 000, excluding VAT) covers the Brand Study, the set-up of your Druff HQ portal and the briefing of the team. The onboarding fee is not refundable, except to the extent the CPA requires otherwise.
3.2 Term and notice. The first term is three months. After that the retainer runs month to month and either party may end it with 30 days’ written notice. A client who commits to 12 months pays for 11. Where the CPA applies to you, you may cancel a fixed term on 20 business days’ written notice, subject to a reasonable cancellation charge as the CPA allows. An additional slot can be added at any time and removed with 30 days’ written notice.
3.3 How the queue works. Anyone in the client’s company may place briefs. The client names one queue owner, who sets the order. Each slot works on one job at a time.
3.4 Turnaround. Each brief is delivered within one to two working days of entering production, depending on its size. Turnaround is measured from the start of production, not from when the brief is placed, and assumes the brief and the materials needed are complete.
3.5 Urgent briefs. Two same-day urgent briefs per slot per month are included. An urgent brief is a 24-hour brief that moves to the front of the queue and starts within four working hours. Further urgent briefs are R5 000 each (excluding VAT), subject to availability.
3.6 Revisions. Revisions on a job are included and do not use a new brief. A change of direction or new content is a new brief.
3.7 What is quoted separately. Larger work such as a rebrand, a new website or full redesign, an intranet, or product and packaging design is quoted as a project under section 4. Retainer clients receive 10% off quoted projects.
3.8 Unused capacity and pauses. The slot is reserved for the client whether or not it is used, and unused capacity does not carry over to the next month. A retainer may be paused once a year with 30 days’ written notice.
3.9 Late payment. If a payment is not received by its due date, the queue pauses until it clears. Nothing is lost; work resumes once payment reflects.
3.10 Ownership. Finished files delivered to the client are the client’s to use however they like, once the month in which they were delivered has been paid. Working files, templates, and fonts or images licensed by Druff remain with Druff.
4.1 Quotations. Quotations are valid for 30 days from the date of issue. They assume the client supplies the content, text and images unless agreed otherwise, and they are based on the specifications supplied. If the specifications change or were incomplete, Druff may revise the quotation.
4.2 Planning and project management. Where a client cannot provide detailed specifications, Druff may bill for research and planning, and may quote for project management, at its standard hourly rate.
4.3 Acceptance. A quotation is accepted by written confirmation by email. No project starts until that confirmation and the upfront payment have been received.
4.4 Payment. A 50% upfront payment is due on acceptance, by electronic funds transfer (cash is not accepted). The project starts once it has cleared. The remaining 50% is due on completion and sign-off, and must be received before a website is placed on live hosting or before final artwork and files are released. Druff is not responsible for deadlines missed because of late payment.
4.5 Non-refundable work. The upfront payment is not refundable once Druff has started the strategy, site structure, project documentation or design, except to the extent the CPA requires otherwise.
4.6 Phases and sign-off. Each phase needs written sign-off by email before the next phase starts. The client is responsible for an accurate brief.
4.7 Revisions. Once a design direction has been chosen, three rounds of consolidated revisions are included. Further revisions, and changes or additions outside the original scope, are charged at the standard hourly rate.
4.8 Copy. Copy supplied by the client must be final. Changes to copy after it has been built into a website or layout are charged at the standard hourly rate.
4.9 Dormant projects. If a project is left waiting on the client for more than 30 days, Druff may invoice for the work done so far, and the price for continuing may change.
4.10 Websites. Websites are built and tested for current versions of the major browsers (Chrome, Safari, Firefox and Edge) on desktop and mobile. A design shown as a static image may look slightly different once built, for example in how fonts render.
4.11 Ownership. Work remains Druff’s property, and stays on Druff’s systems, until the project has been paid in full. On full payment, Druff assigns the copyright in the final work to the client, and will sign a written confirmation of that assignment whenever the client asks for one.
4.12 Cancellation. Either party may cancel a project with 14 days’ written notice. Druff keeps the upfront payment and, where the hours actually spent up to cancellation are worth more than it, invoices the difference at the standard hourly rate.
5.1 Druff may briefly suspend hosted services for maintenance or upgrades, and will give notice where it reasonably can.
5.2 Website maintenance outside a retainer is charged at R600 per hour (excluding VAT) for graphical and static changes, and R650 per hour (excluding VAT) for development changes.
5.3 Hosting packages, domain registrations and their renewal terms are set out on the hosting order form.
6.1 The client confirms that any text, images, logos or other material it supplies are its own or properly licensed for the intended use.
6.2 To the extent the law allows, the client indemnifies Druff against any claim that material supplied by the client infringes someone else’s rights.
7.1 Both parties keep confidential the business and technical information they receive from each other, during the relationship and after it ends.
7.2 Druff may show finished, published work in its portfolio unless the client asks it not to in writing.
8.1 Druff is not liable for loss or damage caused by events outside its reasonable control, including network or power outages, failures of third-party hosting or communication services, security breaches at third parties, or data corruption.
8.2 Except for loss caused by Druff’s gross negligence or wilful misconduct, and except where the law does not permit this limitation, Druff’s total liability in connection with any service is limited to the fees the client paid for that service in the three months before the claim arose.
8.3 Clients should keep their own backups of their content and data.
9.1 Druff handles personal information in line with the Protection of Personal Information Act, 2013 (POPIA), as described in our Privacy Policy.
10.1 Druff may update these terms from time to time. The version on this page at the time a retainer agreement is signed or a quotation is accepted applies to that engagement.
10.2 If any part of these terms is found to be unenforceable, the rest remains in force.
10.3 These terms are governed by the laws of the Republic of South Africa. The parties consent to the jurisdiction of the Magistrates’ Court for any dispute, without limiting Druff’s right to bring a claim in the High Court.
